かなりの長期投資の前提で、ひたすら割安な株式を探し、株式価値向上に資する提案を積極的に行っていく。こうした姿勢の上場株投資ファンドは、アクティビストファンドというより昔はリレーションシップファンドとか呼ばれていました。こうしたファンドは結構存在していて、王道の機関投資家からの資金もたくさん預かっていると聞きます。
株主提案にとどまらず訴訟も積極的に駆使するようになるとまた色々な見方が出てくると思いますが。
私のやっているPEファンドは原則として未上場株式に投資しますが、これは原則として経営権(議決権の過半)を取得します。すなわち、会社全般の責任を負い、リスクも丸抱えするので、強くコミットする必要がありますが、株主・経営者等の各ステークホルダーが同じ方向感でものごとを理解しやすくなります。
その代わり、保有株式を市場で売れない(流動性が低い)といった別のリスクもあります。
その点、上場株式への投資ファンドは、大口株主になるとはいえ経営権までは持たないのが一般で、たくさんの少数株主の違う見方や意見をどのように経営に反映していくかという難しい問題が(経営者には)生じます。株主も売ろうと思えば比較的容易に売却できるので、どうしても経営に対するコミットメントは低くなりがちということもあります。
どちらが良いかという話ではなく、運用方法の違いであり、投資家の求めるものが違うということですね。
ここ数年のグロース優位相場のなかで、投資先などを見ているとパフォーマンスはどうだったのだろう?
